Sguild Finance End-User License Agreement
This End-User License Agreement governs access to and use of the Sguild Finance application by authorized users of Sguild, LLC. By accessing or using the application, you agree to this agreement on behalf of yourself and, if applicable, the organization you represent.
1. Authorized Use
Sguild Finance is an internal finance reporting, bookkeeping integration, cash visibility, and reconciliation application. You may use it only for legitimate Sguild business purposes and only if you are authorized by Sguild, LLC to do so.
2. License
Subject to this agreement, Sguild grants authorized users a limited, revocable, non-exclusive, non-transferable license to access and use Sguild Finance for internal business operations. No ownership rights are transferred.
3. Restrictions
You may not:
- Use the application for unlawful, fraudulent, or unauthorized purposes.
- Attempt to bypass authentication, authorization, logging, or rate limits.
- Copy, modify, reverse engineer, or redistribute the application except as authorized by Sguild.
- Upload or transmit malware, malicious code, or intentionally harmful data.
- Use the application to access data that you are not authorized to view.
4. Third-Party Services
Sguild Finance may connect to third-party services, including QuickBooks Online, Square, Plaid, Vercel, Supabase, and other infrastructure or accounting providers. Your use of those services may be subject to their separate terms, policies, and authorization flows.
5. Financial Information
Sguild Finance provides operational reporting and reconciliation support. It is not a substitute for professional accounting, tax, legal, or financial advice. Sguild may rely on accountants, bookkeepers, or other advisors to review financial records and reporting outputs.
6. Data and Security
You are responsible for using appropriate care when accessing finance data. Do not share credentials, tokens, reports, exports, screenshots, or other sensitive information with unauthorized parties. Sguild may monitor access and activity for security, audit, compliance, and operational purposes.
7. Availability and Changes
The application may change, be suspended, or be discontinued at any time. Sguild does not guarantee uninterrupted access, error-free operation, or that every third-party integration will remain available.
8. Disclaimer
To the maximum extent permitted by law, Sguild Finance is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Sguild, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from use of the application.
10. Termination
Sguild may suspend or terminate access at any time, including when a user is no longer authorized, violates this agreement, or poses a security, compliance, or operational risk.
